Brouse McDowell Names Molly Brown as Partner

Brouse McDowell, a business law firm based in northeast Ohio, is pleased to announce that as of January 1, 2024, Molly Z. Brown was elected as a partner of the firm.

Brown is a member of the firm’s Business Transactions and Corporate Counseling Practice Group. Her practice focuses on public and private securities offerings, mergers and acquisitions, corporate governance and compliance matters. Molly brings significant experience and knowledge leading securities and mergers and acquisitions teams to successful completion of transactions. During the course of Molly’s career, she has completed over $11 billion in securities offerings and nearly $7 billion in mergers, acquisitions and divestitures. She routinely advises companies on the private sales of securities, including warrants, options, stock, and membership interests in companies to purchasers ranging from private equity firms to individual investors to employees and directors. Molly also has experience with securities repurchases upon employee and director departure. She brings experience advising clients’ board of directors and board committees, including counseling compensation committees on the determination of executive compensation and overall bonus compensation to employees.

Molly is a member of the Ohio Chapter of the Society of Corporate Governance and served as its president from 2015-2016. She is a member of C-CON (Regional Compliance Networking & Education Organization) and the Ohio Bankers League. Molly often writes on topics related to securities compliance, capital raising, and the Corporate Transparency Act. Molly earned her J.D. from Case Western Reserve University School of Law and her B.S. in Economics from John Carroll University.
